Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of ReturnCover ("the Service"), a shipping protection and returns management application for Shopify, operated by Selah and Stone Pty Ltd (ABN [insert ABN]) ("we", "us", "our").
By installing, accessing, or using ReturnCover, you ("Merchant", "you") agree to be bound by these Terms, our Privacy Policy, and Shopify's Partner Program Agreement and API Terms of Use.
2. Description of Service
ReturnCover provides Shopify merchants with:
- A customer-facing returns and exchanges portal
- An admin dashboard for managing returns, exchanges, and store credit
- Optional shipping protection checkout integration
- Return shipping label generation (via Australia Post eParcel or manual upload)
- Configurable return rules, fees, and policies
ReturnCover is a tool that facilitates your returns process. We do not make decisions about individual returns -- you retain full control over approvals, denials, and adjustments.
3. Eligibility
To use ReturnCover, you must:
- Operate a Shopify store
- Be at least 18 years of age
- Have the authority to bind your business to these Terms
- Comply with all applicable laws in your jurisdiction
4. Account and Access
4.1 Installation
ReturnCover is installed through the Shopify App Store or direct installation. By installing the app, you authorise us to access your Shopify store data as described in our Privacy Policy and as required to provide the Service.
4.2 Your Responsibilities
You are responsible for:
- Maintaining the accuracy of your account information
- Keeping your carrier API credentials (e.g., AusPost eParcel) secure
- Configuring your return policies, rules, and fees appropriately for your business and in compliance with applicable consumer protection laws
- Ensuring your returns policy as displayed to customers is accurate and lawful
- All activity that occurs under your account
4.3 Customer Data
You acknowledge that you are the data controller for customer personal data processed through ReturnCover. You are responsible for ensuring that your collection and use of customer data complies with applicable privacy laws, including obtaining any required consent and providing appropriate privacy notices.
5. Shipping Protection
If you enable the Shipping Protection checkout feature:
- You are responsible for setting the protection fee charged to customers
- Protection fees are collected by you through Shopify's checkout -- ReturnCover does not collect or process these payments
- You are responsible for honouring the protection benefits as described to your customers
- ReturnCover facilitates the return process but does not underwrite or insure shipments
6. Return Shipping Labels
6.1 AusPost eParcel
If you use the AusPost eParcel integration, you are responsible for maintaining a valid eParcel contract and API credentials. Return labels are generated using your eParcel account and charged to your AusPost account, not to ReturnCover. We are not responsible for AusPost service disruptions, label costs, or delivery issues.
6.2 Manual Labels
If you use the manual label upload option, you are responsible for generating and uploading return labels yourself using your own carrier accounts.
7. Fees and Billing
7.1 Subscription Fees
ReturnCover subscription fees (when applicable) are billed through Shopify's billing system. By installing the app, you authorise recurring charges as described in the pricing plan you select. Detailed pricing information is available on our website and within the Shopify App Store listing.
7.2 No Hidden Fees
We do not charge per-order fees on shipping protection opt-ins, and we do not take a percentage of protection revenue. You keep 100% of any shipping protection fees charged to your customers.
7.3 Third-Party Costs
You are responsible for any third-party costs associated with using ReturnCover, including but not limited to AusPost eParcel shipping charges, Shopify subscription fees, and any payment processing fees.
8. Acceptable Use
You agree not to:
- Use ReturnCover to facilitate fraudulent activity
- Submit false or misleading information
- Attempt to reverse-engineer, decompile, or disassemble the Service
- Use the Service in any way that violates applicable laws or regulations
- Resell, sublicense, or redistribute access to the Service without our written consent
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to collect or store personal data beyond what is necessary for returns management
9. Intellectual Property
9.1 Our IP
ReturnCover, including its software, design, logos, and documentation, is owned by Selah and Stone Pty Ltd. These Terms do not transfer any intellectual property rights to you. The "Powered by ReturnCover" branding displayed in the customer returns portal is part of the Service and may not be removed without a separate agreement.
9.2 Your Content
You retain ownership of your brand assets (logo, colours) that you upload to customise the returns portal, and of any content you create within the Service. You grant us a limited licence to display your brand assets solely for the purpose of providing the Service.
10. Availability and Support
10.1 Service Availability
We aim to provide reliable, continuous access to ReturnCover but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
10.2 Support
We provide support via email. Response times may vary, and priority support may be available on certain plans. Support is provided in English.
11. Data Processing and Security
11.1 Data Processing Agreement
By using ReturnCover, you and we agree to the data processing terms outlined in our Privacy Policy. We process customer personal data solely on your behalf and in accordance with your instructions as configured through the Service.
11.2 Security
We implement reasonable technical and organisational security measures to protect data processed through the Service, as described in our Privacy Policy. However, no system is completely secure, and we cannot guarantee absolute security.
11.3 Data Portability
You may export your return data at any time through the admin dashboard. Upon termination of your account, we will provide a reasonable period (30 days) for you to export your data before deletion.
12. Limitation of Liability
12.1 Service Limitations
ReturnCover is a returns management tool. We are not responsible for:
- The outcome of individual return requests or customer disputes
- Errors in fee calculations resulting from incorrect merchant configuration
- Lost, damaged, or delayed return shipments
- Customer dissatisfaction with a merchant's return policy
- AusPost service disruptions or label generation failures
12.2 Limitation
To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the Service shall not exceed the total fees paid by you to ReturnCover in the twelve (12) months preceding the claim.
12.3 Exclusion
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
12.4 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
13. Indemnification
You agree to indemnify and hold harmless ReturnCover and Selah and Stone Pty Ltd from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Your violation of any applicable law
- Your return policies or customer disputes
- Any claim by a third party related to your use of the Service
14. Termination
14.1 By You
You may uninstall ReturnCover from your Shopify store at any time. Upon uninstallation, your access to the Service will cease. We will retain your data for 30 days to allow for data export, after which it will be deleted in accordance with our Privacy Policy and Shopify's shop/redact webhook.
14.2 By Us
We may suspend or terminate your access to the Service if:
- You breach these Terms
- Your Shopify store is suspended or terminated
- You fail to pay applicable fees
- We are required to do so by law
- We cease offering the Service
We will provide reasonable notice before termination where possible, except in cases of serious breach.
15. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the admin dashboard at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may uninstall the app before the new terms take effect.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
17. General
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReturnCover regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
17.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor.
